We have created this Membership Agreement to protect you and to ensure that becoming a member and participating in our community is easy and safe for everyone.
This Membership Agreement (“Agreement”) and any addenda you may later accept describe the terms and conditions of your membership to the Indireads.com community. We may automatically amend this Agreement at any time by sending the amended terms to the email address you provide to us. Such amendments will be effective when sent.
Simpler Terms: The Membership Agreement is a regularly updated document. These are the basic rules and can be modified at any time. Yes, we will inform you of changes to the guidelines, but you are responsible to follow them, whether you read them or not. When you click Accept and Continue, you accept these terms.
You are eligible to become a member of Indireads.com so long as you are age 18 or over. If you are under age 18, you may not register with Indireads.com. For more information, please go to our Privacy Policy.
Simpler Terms: Don’t join if you are less than 18!
Certain memberships are available for free. They include access to comment boards, the shopping cart, your choice of email newsletters and service personalization, as well as additional benefits to be added in the future. We reserve the right to add, delete or change some or all of your free membership services at any time.
Membership within the IndiClub is a paid priviledge only available to paid members. The IndiClub offers discounts, free books, access to paid members-only areas and pre-launch access to books to purchase prior to launch. IndiClub is only available to paid members.
Simpler Terms: Memberships give you access to premium services. IndiClub is a paid membership that includes privileges like free books, access to exclusive members area and more.
You should register yourself, and only yourself, for a membership. You may not transfer or share your membership with anyone. You may not disclose your membership password to any third parties. Message boards may only be used for personal purposes, not commercial purposes. You shall comply with all applicable laws regarding your access to membership and your participation in member services.
We may terminate your membership immediately if you breach this Agreement or if we are unable to verify or authenticate any information you provide to us.
Simpler Terms: Don’t register for someone else and always provide correct info that can be verified, or your account may be suspended to deleted.
ALL SERVICES ARE PROVIDED “AS IS.” WE AND OUR SUPPLIERS DISCLAIM ALL WARRANTIES AND CONDITIONS, EXPRESS, IMPLIED OR STATUTORY, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. We do not guarantee continuous or uninterrupted access to your membership. Applicable law may not allow the disclaimer of implied warranties, so the foregoing disclaimer may not apply to you.
IN NO EVENT SHALL WE OR OUR SUPPLIERS BE LIABLE FOR ANY SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES (HOWEVER ARISING, INCLUDING NEGLIGENCE), OR FOR INTERRUPTED COMMUNICATIONS, LOST DATA OR LOST PROFITS, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, OUR LIABILITY, AND THE LIABILITY OF OUR SUPPLIERS, TO YOU OR ANY THIRD PARTIES IN ANY CIRCUMSTANCE IS LIMITED TO $100. Applicable law may not allow the limitation of liability, so the foregoing limitations may not apply to you.
Simpler Terms: We work hard to provide the best service possible but cannot be financially liable if things occasionally go wrong.
Our Privacy Policy, available here, is incorporated herein by reference. By accepting this Agreement, you expressly consent to the use and disclosure of your personally identifiable and other information as described in the Privacy Policy.
Your Content
You are solely responsible for your content, and we act as a passive conduit for your online distribution and publication. However, we reserve the right to take any action with respect to your content if we believe it may create liability for us or may cause us to lose the services of our ISPs or other suppliers, or if we deem it to be inappropriate.
The content you distribute or request to receive (directly or indirectly) through your membership and your member name: (a) shall not infringe any third party’s copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy; (b) shall not violate any law or regulation; (c) shall not be defamatory or trade libelous; (d) shall not be indecent, obscene or pornographic; (e) shall not contain any viruses, trojan horses, worms, time bombs, cancelbots or other computer-programming routines that are intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information. You may not distribute unsolicited commercial messages (“spam”) through your membership or take any other action which imposes an unreasonable or disproportionately large load on our infrastructure. Doing so may result in termination of your messages without delivery or prevent messages from reaching you.
Simpler Terms: Be careful about what you post, and the data that comes through. Don’t use someone else’s content, don’t spam, don’t write things that could offend, and make sure there are no viruses. Violators will be removed.
You hereby grant to us a worldwide, perpetual, irrevocable, royalty-free, sub-licensable (through multiple tiers) right to exercise all rights under copyright, publicity and related rights, in any media now known or not currently known, with respect to any content you provide to us in any public space on our network. Simpler Terms: If you post a comment, and we like it, we can use it in our marketing for a specific book, the overall brand or anywhere we chose. You will not be compensated (paid) for the usage.
Online Shopping – Returns
Customer satisfaction is our most important goal. If you are unhappy with your order for any reason please contact Customer Service. Returns are not available for any digital books. Once the book is purchased, you own it. However, if you have any problems with opening or reading the book, our Customer Service team will be available to replace the book or assist you with loading your book onto your e-reader.
Simpler Terms: We will replace books in case there is a technical fault, but otherwise, once bought, books cannot be returned.
Links with Other Sites
Indireads.com is not responsible for the content of any other site linked to or from our sites. If you link to another site outside Indireads.com, you leave our site. If you decide to link to another site, you do so entirely at your own risk. Indireads.com may provide links from our sites to other sites, but this is done solely as a convenience to you and in no way should be interpreted as an endorsement of any content, sponsor or owner of any other site. INDIREADS.COM MAKES NO WARRANTY EXPRESS OR IMPLIED AS TO ANY SUCH LINKED SITE INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF THE ACCCURACY, OWNERSHIP, VALIDITY OR LEGALITY OF ANY CONTENT OF A LINKED SITE.

Scope of Agreement
Except where stated otherwise, the term “Indireads.com” used on this website shall be deemed to include Indireads Incorporated and its related companies.
Fees and Payments
You agree to pay all fees and charges incurred in connection with your user name and password, including applicable taxes and communications.

Governance
This Agreement shall be governed in all respects by the laws of the Province of Ontario, Canada as such laws are applied to agreements entered into and to be performed entirely within Ontario, Canada between Ontario residents. Both parties submit to jurisdiction in Ontario and further agree that any cause of action arising under this Agreement shall be brought in a court in Province of Ontario, Canada. If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced. Our failure to act with respect to a breach by you or others does not waive our right to act with respect to subsequent or similar breaches. If we ask a third party to provide services through our network or for your membership, the provisions of this Agreement shall apply to your use of their services. We shall not be liable for any delay or failure to perform resulting directly or indirectly from any causes beyond our reasonable control. This Agreement sets forth the entire understanding and agreement between us with respect to the subject matter hereof.
The services hereunder are offered by Indireads Incorporated, a Canadian federal corporation, located at 2 Rean Drive, Suite 1202, Toronto, ON M2K3B8.
Simpler Terms: In case of a dispute, those will be settled in accordance with Canadian law, which is the applicable law for this contract.
